As a result of states’ aggressive enforcement efforts and statutory increases in tax base and rates, it is important to provide appropriate state tax planning for companies to ensure that they are paying the appropriate amount of tax. Our state tax group advises on the proper application of state and local taxes as well as identifying substantial refunds. We have provided services to all types of taxpayers including C-corporations, pass-through entities and individuals.

Our state and local tax attorneys focus on multistate tax consulting, audit controversy and litigation for clients in various industries. We assist in developing, strengthening and implementing tax strategies. Our primary focus is on state and local income, franchise and sales/use tax issues.

The following includes an example of the work we perform in the state and local tax area:

  • Multistate tax due diligence and planning in connection with mergers, acquisitions, dispositions, and reorganizations

  • Handling and negotiating various state tax audits

  • Responding to state tax notices and filing protests where appropriate

  • Drafting state and local tax memorandum concerning complicated transactions and structures

  • Planning and consulting to minimize state taxes

  • Negotiating amnesty agreements with various governmental authorities

  • Negotiating voluntary disclosure agreements with various governmental authorities

  • Presenting private letter ruling requests in various states

  • Developing and reviewing tax decision matrices for sales/use taxes for a variety of industries including manufacturing, utilities, retail, transportation and healthcare.
